Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Aadevo Technologies Pvt. Ltd. ("Aadevo", "we", "us", or "our"), a company registered under the laws of India.

By accessing or using our GST accounting software, website, desktop applications, mobile applications, or any related services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

2. Service Description

Aadevo provides a multi-platform, offline-first accounting and billing software designed for Indian SMEs and MSMEs. Our Services include but are not limited to:

• •GST-compliant invoicing, e-invoice generation, and e-way bill management.
• •Double-entry bookkeeping, journal management, and financial reporting.
• •Inventory management with stock valuation (FIFO, LIFO, Weighted Average).
• •Industry-specific modules for jewellery, pawn broking, and manufacturing.
• •Cross-device data synchronization across web, desktop, and mobile platforms.
• •GST return filing assistance (GSTR-1, GSTR-3B, GSTR-9).

We reserve the right to modify, update, or discontinue any feature of the Services at any time, with reasonable prior notice to active subscribers.

3. Account Registration

To use our Services, you must create an account by providing accurate and complete information, including your name, email address, business name, and GSTIN (where applicable). You are responsible for:

• •Maintaining the confidentiality of your account credentials, including passwords and device authorization tokens.
• •All activities that occur under your account, whether authorized by you or not.
• •Notifying us immediately at support@aadevo.in if you suspect unauthorized access to your account.

You must be at least 18 years of age to create an account. By registering, you represent that the information you provide is truthful and that you have the authority to bind your business to these Terms.

4. Subscription & Billing

Aadevo offers a 14-day free trial with full access to all features. After the trial period, continued use of the Services requires an active paid subscription.

Pricing & Currency

All subscription fees are quoted and charged in Indian Rupees (INR). Prices are exclusive of applicable Goods and Services Tax (GST) at 18%, which will be added to your invoice. We will provide a GST-compliant tax invoice for all subscription payments.

Payment & Renewal

Payments are processed through Razorpay. Subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date. You will be notified at least 7 days before your subscription renews.

Refunds

Annual subscriptions are eligible for a pro-rata refund within the first 30 days if you are not satisfied. Monthly subscriptions are non-refundable. Refunds will be processed to the original payment method within 7-10 business days.

5. User Responsibilities

By using our Services, you agree to:

• •Use the Services only for lawful business purposes in compliance with all applicable Indian laws and regulations.
• •Ensure the accuracy of all financial data, invoices, tax information, and GST filings entered into the system.
• •Not attempt to reverse-engineer, decompile, disassemble, or otherwise tamper with the software.
• •Not use the Services to store, transmit, or process any illegal, fraudulent, or misleading content.
• •Maintain adequate local backups of your business data. While Aadevo provides automated backups, you acknowledge that ultimate responsibility for your data rests with you.

6. Data Ownership

You own your data. All financial records, invoices, journal entries, party information, inventory data, and other business data you create or input into the Services remain your exclusive property.

You grant Aadevo a limited, non-exclusive license to store, process, and transmit your data solely for the purpose of providing the Services to you. This license terminates when you delete your account or when your subscription ends.

You may export your data at any time in standard formats (CSV, Excel, JSON, PDF) through the built-in export functionality. Upon account termination, we will make your data available for export for a period of 30 days.

7. Intellectual Property

The Aadevo software, including its source code, design, user interface, branding, logos, documentation, and all related intellectual property, is owned by Aadevo Technologies Pvt. Ltd. and is protected by Indian and international copyright, trademark, and intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes during the term of your subscription. This license does not grant you any rights to sublicense, distribute, or create derivative works from the Services.

8. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Aadevo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising from your use of the Services.

In no event shall Aadevo's total aggregate liability exceed the amount you paid for the Services in the twelve (12) months preceding the event giving rise to the claim.

While Aadevo assists with GST calculations, e-invoicing, and return filing, you acknowledge that Aadevo is a software tool and not a substitute for professional chartered accountant or tax advisory services. You remain solely responsible for the accuracy and compliance of your tax filings.

9. Termination

You may cancel your subscription and terminate your account at any time from within the application settings. Upon cancellation:

• •Your access will continue until the end of the current billing period.
• •Your data will remain available for export for 30 days after termination.
• •After 30 days, your data will be permanently deleted from our servers, except where retention is required by Indian law.

We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees after a 15-day grace period.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve the dispute through good-faith negotiation for a period of at least 30 days. If negotiation fails, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator mutually agreed upon by both parties. The seat of arbitration shall be Bangalore, Karnataka, India, and proceedings shall be conducted in English.
